Service Description
Soneila provides a browser-based background music player that streams purpose-built, AI-generated ambient music designed for coffee shops and similar venues. The service is provided on a subscription basis, licensed per physical location.
The service is intended for business and organisational use. By subscribing, you represent that you are acting on behalf of a business in a professional capacity and not as an individual consumer.
Accounts and Sign-In
Access requires an account identified by your email address. We use magic-link sign-in (a one-time link sent to your email) rather than passwords. You are responsible for keeping access to your email account secure and for all activity under your Soneila account. Do not share sign-in links or allow unauthorised access to the player.
Music, Licensing, and No Collecting-Society Fees
The music streamed through Soneila is original, AI-generated audio. It is not composed or performed by human authors registered with collecting societies, and it is not part of the repertoire administered by performing-rights or neighbouring-rights organisations such as Teosto or Gramex in Finland.
Accordingly, playing Soneila's catalogue as background music in your venue does not require a separate Teosto or Gramex licence, and no performing-rights or neighbouring-rights royalties are payable to those organisations for the music we supply. This reflects the current position in Finland for AI-generated music that does not draw on their administered repertoire. You remain responsible for confirming any obligations specific to your own circumstances or jurisdiction if you operate outside Finland.
What you get: a limited, non-exclusive, non-transferable licence to stream the Soneila catalogue as background music at the specific location(s) covered by your active subscription, for the duration of that subscription.
What you do not get: you do not acquire ownership of, or copyright in, any track. You may not download, copy, redistribute, broadcast, resell, sublicense, or create derivative works from the music, and you may not use it outside the licensed location(s) or in any production, recording, or other media.
If a track is ever credibly claimed to resemble an existing copyrighted work, we remove it from the catalogue promptly. Our position is that this is AI-generated music to which traditional collecting societies have no claim.
Fees and Payment
Access requires a paid subscription, licensed per location.
- Price: €60 per location per year (equivalent to €5/month), billed annually as a single upfront charge. All prices exclude VAT, which is added at checkout based on your country. If you provide a valid EU VAT ID, the reverse-charge mechanism applies and no VAT is added.
- Payment method: payments are processed securely via Stripe using a credit or debit card. Soneila does not store your card details; all card data is handled by Stripe in accordance with PCI DSS standards.
- Per-location licensing: each physical location requires its own licence, and each licence permits one active stream at a time. To play in multiple locations simultaneously, purchase one licence per location. Each additional licence is billed upfront for 12 months with its own renewal date.
- Minimum commitment: the subscription has an initial term of 12 months.
- Renewal: after the initial term, the subscription renews automatically for further 12-month periods (€60 + VAT per location) unless cancelled before the renewal date. We will send a renewal reminder before each renewal.
- Cancellation: you may cancel at any time through the Stripe customer portal linked from your billing page. Cancellation takes effect at the end of the current paid period; the player remains accessible until the expiry date. No partial refunds are provided for the remaining period.
- Failed payments: if a renewal payment fails, we will notify you and may suspend access until payment is resolved.
Acceptable Use
By using the service, you agree to:
- Use the player only to provide background music at the licensed location(s)
- Not share sign-in links or allow unauthorised access
- Not download, copy, redistribute, or attempt to extract the underlying audio files or their delivery URLs
- Not circumvent the per-location or one-active-stream limits, rate limits, or other technical protections
- Comply with all applicable laws and regulations
We operate technical limits (including per-account rate limits on audio access and one active stream per licence, where a new session displaces an older one on the same licence) to protect the service. Attempting to bypass them is a breach of these terms.
Service Availability
We aim to keep Soneila available continuously but do not guarantee uninterrupted service. The player is designed to recover silently from network interruptions. We may perform maintenance, update the catalogue, add or retire genres and tracks, and make reasonable changes to the service. We are not liable for temporary unavailability caused by factors outside our reasonable control.
Intellectual Property
All music, the player software, the Soneila name and logo, and related materials are the property of Yutori Solutions Oy or its licensors and are protected by intellectual property laws. Except for the limited streaming licence granted above, no rights are transferred to you. You may not remove proprietary notices or use Soneila's branding without written permission.
Limitation of Liability
To the maximum extent permitted by law, Yutori Solutions Oy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service. Our total liability shall not exceed the amount you paid for the service in the twelve months preceding the claim.
Suspension and Termination
Termination by us for cause: we may suspend or terminate access if you breach these terms — in particular the music-licensing restrictions or technical protections — compromise the security of the service, or engage in illegal activity. For material breaches capable of remedy, we will give you 30 days' written notice to remedy before terminating. For serious breaches (such as redistribution of the audio or security circumvention) we may suspend access immediately with notice.
Termination by you: you may cancel at any time through the customer portal; your subscription ends at the close of the current paid period.
Upon termination: your access to the player ends on the termination/expiry date, your streaming licence ends, and we retain or delete your data in accordance with our Privacy Policy. Provisions on intellectual property, limitation of liability, and governing law survive termination.
Changes to the Service and These Terms
We may update these terms from time to time. For non-material changes (corrections, clarifications), the updated terms take effect upon posting with a new effective date. For material changes — including changes to fees, payment terms, liability, or termination rights — we will notify you by email at least 30 days before they take effect. If you do not agree to a material change, you may cancel before the effective date. Continued use after the effective date constitutes acceptance.
Data Protection
Your use of the service is subject to our Privacy Policy, which explains how we collect, use, and protect personal data.
Governing Law
These terms are governed by the laws of Finland, without regard to conflict-of-law provisions. Disputes arising from these terms or the service are subject to the exclusive jurisdiction of the courts of Finland.
Language
These terms are published in English and Finnish. The English version is the authoritative version; in case of any discrepancy, the English text prevails.
